SEC Reopens Comment Period for Recovery of Erroneously Awarded Compensation Rule Proposal

On June 8th, the SEC announced that is reopening the comment period for the July 2015 proposed amendments and new rules to implement Section 954 of Dodd-Frank concerning listing standards for recovering erroneously awarded compensation. In response to the original proposal, the SEC received numerous comments, and considering the regulatory and market developments since 2015, the SEC is providing an opportunity for the public to offer additional feedback on the 2015 proposal. SEC Introduces Game Show-Themed Public Service Campaign

The SEC’s Office of Investor Education and Advocacy has announced the launch of a game show-themed public service campaign entitled “Investomania” that is designed to help investors make informed investment decisions and protect themselves from fraud. Drawing on the idea that investing may sometimes seem like playing a game, the campaign reaffirms the need for investors to take proper precautions when making investment decisions. SEC Announces Rule Proposals to Enhance Disclosures by Certain Investment Advisers and Investment Companies About ESG Investment Practices

The SEC has announced that it is proposing amendments to rules and disclosure forms under both the Advisers Act and the Investment Company Act that would both provide investors with information that is consistent, comparable and reliable and help funds and advisers incorporate environmental, social, and governance (ESG) components. The proposed amendments would apply to registered investment companies (funds), business development companies (together with funds), registered investment advisers (advisers), and certain unregistered advisers (together with registered investment advisers) and would require these entities to submit supplemental information regarding their ESG investment practices. SEC Announces Approved Updates to Electronic Filing Requirements Amendments

The SEC has adopted rules and form amendments to require the electronic filing or submission of certain documents that currently are permitted to be filed or submitted in paper as well as the use of Inline XBRL for the filing of the financial statements and associated schedules to the financial statements required by Form 11-K. SEC Proposes Rule Updates to Prohibit Misleading or Deceptive Fund Names

On May 25th, the SEC announced that it is proposing amendments to Rule 35d-1 under the Investment Company Act of 1940, the Investment Company Names Rule of 2001 (Names Rule). For a business development company (BDC) or a registered investment company, the name of its firm is an important marketing tool for the fund, and it conveys to investors useful information about the fund. SEC Publishes Draft EDGAR Filer Manual (Volume II) EDGAR Filing (Version 62)

On May 20th, the SEC released its Draft of the EDGAR Filer Manual, Volume II: “EDGAR Filing” (Version 62). The SEC has not approved, may approve or disapprove, and may update any of the modifications within the draft. This draft Volume II of the EDGAR Filer Manual is made available to filers in anticipation of feedback and to help filers prepare for potential revisions to the EDGAR system detailed in the draft and scheduled to be implemented in EDGAR Release 22.2 on June 21, 2022. “Non-rule”-based modifications outlined in the draft will be effective June 21, 2022. Filings with a due date of May 30th will be due the following business day. SEC Announces Removal of 2020 Taxonomies

On May 24th, the SEC announced that the EDGAR system will be upgraded to Release 22.2 on June 21, 2022. 2020 versions of certain taxonomies will be removed, but all 2021 and 2022 versions of taxonomies will be available for use. The SEC reminds filers that they must use the same version year for all of the taxonomies in an EDGAR submission. Filers may not combine taxonomy versions from different years. SEC to Extend Comment Period for Proposed Rules on Climate-Related Disclosures, Reopens Comment Periods for Proposed Rules Related to Private Fund Advisers and Regulation ATS

On May 9th, the SEC announced that it has extended the public comment period concerning the proposed rules designed to improve and regulate climate-related disclosures for investors. The SEC also announced that it will reopen the comment periods for the proposed rules that would enhance protections for private fund investors as well as proposed rules to include significant Treasury markets platforms within Regulation ATS. The proposed rules have garnered much attention from a wide range of investors, issuers, market participants, and other stakeholders. The extension and reopening of comment periods allow these parties, who represent diverse views and experiences, the benefit of additional time to review and provide valuable feedback. SEC Enhances Division of Enforcement’s Crypto Assets and Cyber Unit

On May 3, 2022, the SEC announced the assignment of 20 additional positions to the unit charged with protecting investors in crypto markets from cyber-related threats. The newly renamed Crypto Assets and Cyber Unit (formerly known as the Cyber Unit) in the SEC’s Division of Enforcement will now be comprised of 50 dedicated positions, nearly doubling the size of this key unit. The addition of the new positions into the unit strengthens the ranks of its supervisors, investigative staff attorneys, trial counsels, and fraud analysts in the agency’s headquarters in Washington, DC and in several regional offices. SEC Revises PAUSE List of Firms Using Misleading Information to Solicit Investors

On April 25th, the SEC announced that it has revised its list of unregistered entities that use inaccurate data to solicit mainly non-US investors. SEC, NASAA, AARP to Co-Host Older Investor Roundtable

The SEC’s Office of the Investor Advocate, in conjunction with the North American Securities Administrators Association (NASAA) and AARP will host a public listening session covering a number of investing matters pertaining to American senior and older communities, including those with diminished capacity. The discussions are geared also toward seniors’ loved ones, caregivers, financial professionals and consumer advocates. The audio event, which brings together investors and the securities regulators who protect them from investment fraud, will be held on Thursday, April 28, 2022 from 10:00 a.m. to 12:00 p.m. ET.
