The Divisions will consider whether to:
- propose amendments to the rule under the Investment Advisers Act of 1940 that provides an exemption from the prohibition on registered advisers receiving compensation based on capital gains or capital appreciation. The amendments would also add enhanced disclosure requirements for performance‑based compensation arrangements.
- propose amendments to the rule under the Investment Company Act of 1940 that allows regulated closed‑end funds to make periodic repurchase offers at net asset value. The amendments would also expand the ability of these funds to issue multiple share classes.
- issue notices that the SEC is evaluating whether to designate certain certifications, designations, or credentials as qualifying natural persons for accredited investor status.
