On December 14, 2015, EDGAR 15.4 was released by the Securities and Exchange Commission. This release contained new EDGAR forms and changes to the EDGAR Filer Manual that detail how the SEC chooses to render XBRL reports.
New EDGAR Forms
The following new forms pertain to broker-dealers:
– X-17A-5: Annual Reports
– X-17A-5/A: Amendment to Annual Reports
The electronic version of Form X-17A-5 concerns Part III of the form only. The SEC will continue to accept Form X-17A-5 Part III in paper format.
Both of these new EDGAR form types include the “Request Confidentiality” check box for documents which allows applicants to request confidential treatment for each attached document. Staff at the SEC will review the submission and determine if the information for which confidential treatment was requested should be made public.
Only those documents that SEC staff have determined should be made public will be disseminated by EDGAR.
The following new forms were added pursuant to Regulation Crowdfunding:
– C: Offering Statement
– C-W: Offering Statement Withdrawal
– C-U: Progress Update
– C-U-W: Progress Update Withdrawal
– C/A: Amendment to Offering Statement
– C/A-W: Amendment to Offering Statement Withdrawal
– C-AR: Annual Report
– C-AR-W: Annual Report Withdrawal
– C-AR/A: Amendment to Annual Report
– C-AR/A-W: Amendment to Annual Report Withdrawal
– C-TR: Termination of Reporting
– C-TR-W: Termination of Reporting Withdrawal
The following new forms were added to incorporate amendments to Form N-MFP that the SEC adopted in July 2014:
– N-MFP1
– N-MFP1/A
These forms will supercede Form N-MFP when they become effective on April 14, 2016. For now, filers can prepare and submit test filings for these forms.
Changes to Regulation A Forms
EDGAR was updated to accept negative values for the following fields in Item 1 of submission form types 1-A, 1-A/A, 1-A POS, DOS, and DOS/A:
– Total Assets
– Total Stockholders’ Equity
– Total Liabilities and Equity
Other Changes
XBRL documents will now be disseminated by EDGAR. Rendered XBRL documents will be displayed as human-readable documents.
