On June 13, 2016, EDGAR 16.2 was released by the Securities and Exchange Commission. This release contained changes to Form N-MFP1, Form 10-D, and Form 8-K. Additionally, EDGAR has been updated to allow registrants whose SIC code is not 6189 (asset-backed securities) to file certain asset-backed securities related forms and to allow certain filers to use Inline XBRL in their submissions.
Changes to Filing Submissions
The following forms can now be submitted to EDGAR by registrants who do not have the 6189 (asset-backed securities) SIC code:
– Forms SF-1 and SF-1/A
– Forms SF-3 and SF-3/A
– Form SF-3MEF
– Forms 424H and 424H/A
– Forms ABS-EE and ABS-EE/A
– Forms 8-K and 8-K/A
– Forms 10-D and 10-D/A
Additionally, the following fields are now required for all filers submitting Forms 10-D and 10-D/A, or providing Item 6 or attaching an EX-36 on submission Forms 8-K and 8-K/A (irrespective of the filer's SIC code):
– Sponsor CIK
– Depositor CIK
– ABS Asset Class
Changes to Form N-MFP1
Changes were made to Form N-MFP1 as follows:
– Items A.17 and B.4 will now allow values with up to four decimal places. A minimum of two decimal places is still required for these items.
– Item C.13 will now allow a future date up to 12/31/2500.
– Item C.18 is now displayed as static text.
– Item C.21 and all sub-items under Items A.13.a and A.13.c are now optional.
Changes to XBRL
EDGAR no longer provides support for the US GAAP 2014, EXCH 2014, COUNTRY 2012 and CURRENCY 2012 taxonomies.
Additionally, the SEC has issued an exemptive order to permit companies to voluntarily file structured financial statement data in a format known as Inline XBRL. Filers can submit Inline XBRL through March 2020.
Version 4.14a of the GoFiler family (released June 13, 2016) addresses these changes to EDGAR. Tools to facilitate the creation of inline XBRL will be provided in a subsequent release of the software.
