SEC Issues Draft 2021Q4 and Draft 2022 Taxonomies Update

The SEC announced on September 1, 2021 that a draft 2021Q4 update and a draft 2022 update to the SEC taxonomies were issued for the public to review and submit comments. The draft 2021 release updates the Document and Entity Information (DEI) taxonomy and the Closed-End Fund (CEF), which is a new taxonomy resulting from the Securities Offering Reform for Closed-End Investment Companies Final Rule. The CEF taxonomy is currently available only in draft form and the proposed date for accepting the taxonomy in EDGAR is in December 2021. {expires: 2021-11-02}


The updates to the DEI and CEF taxonomies reflect following developments:

  1. the draft added new elements to the DEI taxonomy for tagging auditor information
  2. minor modifications to element names and references were made to the CEF
  3. the CEF taxonomy removes certain document- and entity-related elements from the previous draft version of the April 2020 CEF taxonomy

Also available now for review and comment is the draft 2022 update to the SEC taxonomies. As part of the annual review process for updating all SEC taxonomies accepted in EDGAR, the standard SEC taxonomies have been updated in this draft. The Draft 2022 Release Notes provide more details on the changes to the SEC taxonomies for this update.


The SEC welcomes comments related to the taxonomies update until November 1, 2021. Feedback may be submitted via email to structureddata@sec.gov. “Draft 2021 Q4 SEC Taxonomies” or “Draft 2022 SEC Taxonomies” should be provided as the subject of the email. After the comment period ends and remarks are reviewed, the taxonomies will go before the SEC for approval.


The draft taxonomy files for both updates can be found on the Office of Structured Disclosure’s homepage. Visit the SEC’s EDGAR webpage for updates on any SEC-approved changes made to the EDGAR Filer Manual. If necessary, transition guidance for the updates to the taxonomies will be posted on the standard taxonomies webpage.
