On June 20th, the SEC updated the EDGAR system to Release 23.2, and the system now supports multiple new XBRL taxonomies, including the 2023 version of the International Financial Reporting Standards (IFRS) taxonomy, the Resource Extraction Payments (RXP) taxonomy, and the Open-End Fund (OEF) taxonomy. The SEC has announced that it is adopting rule amendments pursuant to Regulation M, under which the SEC is required to replace references to credit ratings with alternative standards of creditworthiness. Regulation M of the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010 (Dodd-Frank Act) is a set of rules designed to protect the pricing integrity of the securities trading markets by prohibiting issuers, distribution participants, selling security holders, and any of their affiliated purchasers from engaging in activities that could artificially influence the market for an offered security. On June 7th, the SEC announced that it is adopting new Rule 9j-1, which is designed to prevent fraud, manipulation, and deception related to executing or attempting to execute any transaction (including purchasing or selling, inducing or attempting to induce the purchase or sale) in a security-based swap (SBS). The rule takes into consideration the basic features of an SBS and the broad definitions of “purchase” and “sale” under the Exchange Act as they relate to SBSs. On June 2nd, the SEC announced that Form N-CEN Data Sets are now available for download. Form N-CEN is used by all registered investment companies to file annual reports with the SEC, with the exception of face-amount certificate companies. The Form N-CEN Data Sets are extracted from the eXtensible Markup Language (XML) Form N-CEN submissions. The data is displayed without change from the “as-filed” submissions and in a flattened format to provide readily available data from registrants. On May 17, the SEC announced proposed rule amendments that would strengthen the resilience as well as the recovery and wind-down plans (RWPs) of covered clearing agencies (CCAs) under the Securities Exchange Act of 1934.
